Terms of Service

These Terms of Service (the "Terms", which we also call our Terms and Conditions) are a legally binding agreement between you and Ashish Jha, the individual developer who provides TrueDo ("TrueDo", "we", "us" and "our"). They govern your access to and use of the TrueDo app for iPhone and iPad, including its widgets, Live Activities and share extension, the TrueDo AI assistant, and the related services, websites and support that we provide (together, the "Service").

Please read these Terms carefully. They include important limits on our liability (section 16) and explain how disputes are resolved (section 18). By creating an account, or by downloading, installing, accessing or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.

Effective October 6, 2026

1. Definitions

In these Terms:

  • "App" means the TrueDo application for iOS and iPadOS, including its widgets, Live Activities and share extension, and any updates to it.
  • "Account" means the TrueDo account you create to use the Service.
  • "Your Content" means any information, text, images, audio, documents, links and other material that you create, enter, upload, store, share or submit through the Service, including the requests you send to TrueDo AI.
  • "TrueDo AI" means the optional AI assistant in the Service, also called TrueDo, and the AI-powered features described in section 7.
  • "AI Output" means any content that TrueDo AI generates for you, including replies, summaries, transcripts, translations, estimates and suggestions.
  • "TrueDo Pro" means our optional paid subscription described in section 11.
  • "Apple" means Apple Inc. and its subsidiaries, and "App Store" means Apple's App Store.
  • "Including" means "including without limitation".

2. Acceptance and eligibility

2.1 Agreement. These Terms apply from the moment you first access or use the Service. Our Privacy Policy explains how we handle your personal information. Additional terms that we show in the App for a particular feature, purchase or promotion also apply to it and, if they conflict with these Terms, prevail for that feature, purchase or promotion.

2.2 Minimum age. You must be at least 13 years old, and at least the minimum age required in your country to consent to the processing of your personal data (for example, 16 in some EU countries), to use the Service. If you are under the age of majority where you live (18 in India and many other countries), you may use the Service only with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf and is responsible for your use of the Service. TrueDo AI is only for users aged 18 or over (section 7.9).

2.3 Capacity. By using the Service, you confirm that you can form a binding contract with us (or have your parent's or guardian's consent to do so), that you are not barred from using the Service under any applicable law, and that we have not previously suspended or terminated your Account for breaching these Terms.

2.4 Personal use. The Service is provided for your personal, non-commercial use.

3. Your account and its security

3.1 Creating an account. You need an Account to use the Service. You can sign up with an email address and password, with Sign in with Apple or with Sign in with Google. You agree to give accurate information and to keep it up to date. You must not create an Account for someone else, use another person's Account, or share your Account with anyone.

3.2 Keeping it secure. You are responsible for keeping your password, your device and your Vault passcode secure and confidential, and for all activity under your Account. Tell us promptly at ashishjhadeveloper@gmail.com if you believe your Account has been used without your permission. To the extent permitted by law, we are not responsible for losses caused by someone else using your Account where that results from your failure to keep your credentials secure.

3.3 Vault passcode. We do not store your Vault passcode and cannot recover it for you. Notes that were locked individually in earlier versions of TrueDo are encrypted with a key derived from your passcode; if you forget your passcode, those notes may be impossible to recover.

3.4 Usernames. You may choose an @username so that people can find you. Your username must not impersonate anyone, infringe anyone's rights, or be offensive or misleading. We may change or reclaim a username that breaches these Terms, or where we reasonably need to (for example, to resolve a trademark or impersonation complaint).

3.5 Service communications. We may send you messages about the Service (for example, about security, your subscription or changes to these Terms) by email or in the App. These are part of the Service, and you cannot opt out of them while you have an Account.

4. Licence to use the App

4.1 Licence grant. Subject to your continued compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to download, install and use the App on Apple-branded devices that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, and to access and use the Service, in each case solely for your personal, non-commercial use.

4.2 Restrictions. Except as these Terms expressly allow, or as applicable law allows despite this restriction, you must not:

  • copy, modify, translate, adapt or create derivative works of the App or the Service;
  • decompile, disassemble or reverse engineer the App, or attempt to derive its source code;
  • sell, rent, lease, lend, sublicense, distribute, publish or otherwise make the App or the Service available to anyone else, or use it to provide a service to third parties;
  • remove, alter or obscure any copyright, trademark or other proprietary notice;
  • access the Service, our servers or our AI relay other than through the App, or use bots, scrapers or other automated means to access the Service;
  • circumvent, or attempt to circumvent, any security measure, usage limit, rate limit, plan restriction or payment requirement; or
  • use the App or the Service to build a competing product or service.

4.3 Ownership. The App is licensed, not sold. We and our licensors keep all rights, title and interest in the App and the Service, and all rights that are not expressly granted to you are reserved.

4.4 Updates. We may release updates, upgrades and fixes, some of which may be required to keep using the Service or certain features. Updates are governed by these Terms unless they come with their own terms.

4.5 Open-source software. The App includes open-source components that are licensed under their own licences. Nothing in these Terms limits your rights under those licences.

5. Acceptable use and prohibited conduct

5.1 Rules. You agree to use the Service only for lawful purposes and in line with these Terms. You must not, and must not help or encourage anyone else to:

  • break any applicable law or regulation, or use the Service for any illegal, fraudulent or harmful purpose;
  • upload, store, share or transmit content that is unlawful, threatening, abusive, harassing, defamatory, hateful, discriminatory, obscene, pornographic, invasive of another person's privacy, violent or otherwise objectionable, or that promotes terrorism or violent extremism;
  • upload, store or share any content that sexually exploits or endangers children. We have zero tolerance for this and will report it to the relevant authorities;
  • share content that deceives or misleads people about its origin, or that knowingly communicates information that is patently false or misleading;
  • share content that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states or public order, or that incites the commission of any offence;
  • infringe or misappropriate anyone's intellectual property, privacy, publicity or other rights, or store or share content that you do not have the right to store or share;
  • harass, bully, stalk, threaten, intimidate or impersonate any person, or misrepresent your identity or affiliation;
  • share other people's personal information without their permission or another lawful basis;
  • send spam, chain messages or unsolicited invitations or shares, or collect information about other users (for example, by looking up usernames or email addresses in bulk);
  • access, or attempt to access, another person's Account or data without permission;
  • upload viruses or other malicious code, or interfere with, disrupt, overload or impair the Service, its servers or networks, or probe, scan or test their vulnerability without our written permission (if you find a security issue, please report it to us responsibly at ashishjhadeveloper@gmail.com);
  • use TrueDo AI in breach of section 7.7; or
  • rely on the Service in an emergency, or for any purpose where a failure could lead to death, personal injury or serious damage.

5.2 Zero tolerance. There is no tolerance for objectionable content or abusive behaviour towards other users, including in shared features such as Circles and shared tasks, notes, folders and lists.

5.3 Reporting. You can report objectionable content, abuse or a breach of these Terms by emailing ashishjhadeveloper@gmail.com with the username or item concerned and a short description (screenshots help). Where the App offers in-app tools to report or block, you can use those too, and you can stop sharing an item or remove a person from your Circle at any time. We review reports and act on content that breaches these Terms within 24 hours of receiving a report, including by removing the content and suspending or removing the user responsible.

5.4 Enforcement. We do not routinely monitor private content, but we may review content that is reported to us or that we reasonably believe breaches these Terms or the law. We may remove or disable access to content, restrict features, or suspend or terminate Accounts that breach these Terms, and we may report illegal activity to law enforcement and cooperate with lawful requests.

6. Your content

6.1 You own Your Content. As between you and us, you keep all rights in Your Content. We do not claim ownership of it.

6.2 Licence to operate the Service. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, display and adapt Your Content (for example, to format, compress or convert files), only as needed to operate, secure, maintain and provide the Service to you and to the people you choose to share with, and as described in our Privacy Policy, including by sending it to our service providers (such as Google Firebase, and Google Gemini when you use TrueDo AI). This licence lasts while Your Content is stored in the Service and ends when you delete it or your Account, except for content you shared that others have copied or kept, and for limited residual copies described in our Privacy Policy.

6.3 What we will not do. We will not sell Your Content, use it for advertising, or use it to train AI models, and our AI provider's terms for paid services do not allow it to use Your Content to train its models.

6.4 Your responsibilities. You are responsible for Your Content and for having all the rights and permissions needed to store it and share it through the Service, including for any personal information about other people that you enter (for example, names in your Dues list). You are also responsible for the accuracy of the information you enter.

6.5 Keep your own copies. We work to keep your data safe, but the Service is not a backup service. Please keep your own copies of anything important, for example by exporting your transactions from Profile.

7. TrueDo AI

7.1 Optional and under your control. TrueDo AI is optional and is powered by Google's Gemini models. It stays off until you choose to turn it on, and you can turn it on or off at any time in Profile → AI & your data. When it is off, nothing is sent to Google Gemini and all other features keep working.

7.2 How it works. When TrueDo AI is on and you use an AI feature, your request and the TrueDo data the feature needs are sent through our relay to Google Gemini to generate a response. Some features, such as the summaries on the Tasks, Money and Health pages, run automatically while TrueDo AI is on. Section 6 of our Privacy Policy explains exactly what is and is not sent.

7.3 AI Output may be wrong. AI Output is generated automatically by machine-learning models and is not reviewed by a person before you see it. It may be inaccurate, incomplete, out of date, biased, offensive or inappropriate, may misunderstand what you said or typed, and may sound confident when it is wrong. Similar requests may produce different results, and other users may receive similar output.

7.4 Verify before you rely on it. You must evaluate AI Output yourself and check anything important, such as dates, deadlines, amounts, balances, calorie and nutrition figures and transcripts, before you rely or act on it. You are responsible for the decisions you make and the actions you take based on AI Output.

7.5 Actions in your Account. When you ask it to, TrueDo AI can create, change, complete or delete items in your Account (for example, adding a task or logging an expense). Review what it proposes and does, and use the undo option where the App offers one. You are responsible for changes made at your request.

7.6 Not professional advice. AI Output is not medical, health, nutritional, mental-health, financial, investment, tax, legal or other professional advice, and it is not a substitute for advice from a qualified professional. See also section 8.

7.7 Prohibited AI use. You must not use TrueDo AI to create, request or spread content that is illegal, harmful, hateful, harassing, sexually explicit or abusive; to try to bypass its safety filters or instructions (for example, by "jailbreaking" or prompt injection); to generate misinformation, spam or malicious code; to make automated decisions about other people that affect their rights; or in any way that breaches Google's Generative AI Prohibited Use Policy (https://policies.google.com/terms/generative-ai/use-policy). Requests that break these rules may be blocked, and we may restrict your access to TrueDo AI if you break them.

7.8 Limits. The free plan includes a daily TrueDo AI allowance. TrueDo Pro raises it to a much higher daily fair-use limit; it is not unlimited. All plans are also subject to rate limits that protect the Service. We may change these limits, and TrueDo AI depends on the availability of Google's services.

7.9 Age. You must be at least 18 years old to turn on or use TrueDo AI. If you are under 18, please leave TrueDo AI off.

7.10 AI Output. As between you and us, you may use the AI Output generated for you for your personal purposes, subject to these Terms and applicable law, and we do not claim ownership of it. AI Output may not be protected by intellectual property laws, and you are responsible for how you use it.

7.11 Third-party terms. Your use of TrueDo AI is also subject to Google's applicable terms and policies, including its Generative AI Prohibited Use Policy.

8. Health and money disclaimers

8.1 Not medical advice. TrueDo's Health features (including the health journal, health score, calorie, nutrition, step, sleep and activity figures, meal estimates, reminders and AI reads) are for general wellness and information only. They are not medical, nutritional or fitness advice, they are not intended to diagnose, treat, cure, monitor or prevent any disease or condition, and TrueDo is not a medical device.

8.2 The health score is non-clinical. The health score is an estimate calculated from the information you log and from the Apple Health data you choose to share. It is not a clinical measure of your health. The sources behind TrueDo's health figures are listed in the App, and the figures may be inaccurate.

8.3 Estimates are approximate. Calorie and nutrition estimates, including those made from a photo or a description of a meal, are approximate and may be wrong. Do not rely on them to manage a medical condition, an allergy, diabetes, an eating disorder or a special diet.

8.4 Talk to a professional. Always consult a doctor or other qualified health professional before changing your diet, exercise, sleep or medication, and about any health concern. Never ignore professional advice, or delay seeking it, because of something in the Service. In an emergency, contact your local emergency services immediately.

8.5 Not financial advice. TrueDo is a personal record-keeping tool. We are not a bank, payment service, lender, broker, financial adviser, investment adviser or tax adviser, and we do not hold or move your money. Balances, budgets, net worth, forecasts, reports and insights are based solely on what you enter and, for investments, on prices from third-party market-data sources that may be delayed, incomplete or wrong. Nothing in the Service is financial, investment, tax, accounting or legal advice, or a recommendation to buy or sell anything. Consult a qualified professional before making financial decisions.

8.6 Payments in other apps. Where the App helps you pay someone (for example, by opening your UPI app with the payee and amount filled in), the payment is made entirely in that other app and is between you, your payment provider and the payee. We never process payments, and we never see or store your UPI PIN, card details or bank credentials. Check the payee and amount before you confirm. We are not responsible for payments you make or for the services of payment providers.

8.7 Your decisions. You are solely responsible for the health, financial and other decisions you make while using the Service.

9. Collaboration and shared content

9.1 Sharing. You can add people to your Circle and share tasks, notes, files, folders, albums, links and Dues balances with them. Everyone you share an item with can view and edit it, and they will see your name, username and profile photo. Recipients may be notified when you share something with them.

9.2 Your responsibility. You decide what to share and with whom, and you are responsible for making sure you have the right to share it. Do not share sensitive information unless you are comfortable with the recipient seeing, editing and keeping it.

9.3 Content shared with you. Content that others share with you belongs to them or their licensors. It may change or stop being available if they edit it, stop sharing it or delete their Account. Respect their rights, and use it only within the Service.

9.4 Being findable. If you choose a username, other signed-in users can find you by your username or your email address, as explained in our Privacy Policy.

9.5 Other users. We are not responsible for the content or conduct of other users. If you have a problem with another user, you can stop sharing with them, remove them from your Circle and report them to us (section 5.3).

9.6 When sharing stops. When you stop sharing an item or remove a person, they lose access to it through the Service, but we cannot remove copies they have made or information they have already seen.

10. Third-party services

10.1 Services we rely on. The Service relies on, and works with, services provided by third parties, including Apple (the App Store, In-App Purchase, Sign in with Apple, Apple Health, notifications, speech recognition, widgets and search), Google (Firebase, Sign in with Google and the Gemini API), Cloudflare (our AI relay), RevenueCat (subscription management), Expo (delivery of collaboration notifications) and market-data providers (Yahoo Finance and mfapi.in). The App may also open websites and other apps, such as links you save or your payment apps.

10.2 Their terms apply. Third-party services are governed by their own terms and privacy policies, and you agree to comply with any third-party terms that apply to your use of the Service (for example, your mobile data plan). We are not responsible for third-party services, websites, apps or content, including their availability, accuracy or practices, and we may change the providers we use.

11. TrueDo Pro: subscriptions, trials, renewals, cancellation and refunds

11.1 Plans. You can use TrueDo on the free plan, which has limits (for example, a daily TrueDo AI allowance, a limited number of photo albums and photos, and reports for the current month only). TrueDo Pro is an optional auto-renewable subscription, offered with Monthly and Yearly billing periods, that raises or removes those limits as described in the App at the time of purchase.

11.2 Purchase through Apple. TrueDo Pro is sold through Apple's In-App Purchase system and managed with the help of RevenueCat. Prices, billing periods and what is included are shown in the App before you buy, in your local currency (including any taxes that Apple applies). Prices may vary by country and may change over time. Your purchase is also governed by the Apple Media Services Terms and Conditions (https://www.apple.com/legal/internet-services/itunes/).

11.3 Payment. Payment is charged to your Apple ID (Apple Account) when you confirm your purchase or, if you start a free trial, when the trial ends.

11.4 Automatic renewal. Your subscription renews automatically for the same billing period, at the then-current price, unless you turn off auto-renewal at least 24 hours before the end of the current period. Your Apple ID is charged for the renewal within the 24 hours before the current period ends.

11.5 Free trial. If you are eligible, Apple may offer you a free trial of TrueDo Pro when you first subscribe (currently 14 days). Apple decides eligibility, and the length of any trial is shown before you confirm. Unless you cancel at least 24 hours before the trial ends, your paid subscription will start and you will be charged automatically. Any unused portion of a free trial is forfeited when you buy a subscription.

11.6 Complimentary Pro period. We may also give new Accounts TrueDo Pro features at no charge for a limited introductory period, as shown in the App. It does not require any payment details, it is not an App Store free trial, it ends automatically, and it never turns into a paid subscription.

11.7 Managing and cancelling. You can manage or cancel your subscription at any time in the Settings app on your device (tap your name, then Subscriptions) or in the App Store. Cancellation takes effect at the end of the current billing period, and you keep TrueDo Pro until then. Deleting the App or your TrueDo Account does not cancel your subscription; you must cancel it with Apple.

11.8 Refunds. All payments are processed by Apple, so we cannot issue refunds directly. You can request a refund from Apple at reportaproblem.apple.com, and Apple decides refund requests under its own policies. Except where the law requires otherwise, payments are non-refundable, and we do not provide refunds or credits for partial billing periods or unused features. Nothing in this section affects your statutory rights.

11.9 Price and feature changes. If the price of your subscription changes, Apple will notify you in advance and, where required, ask for your agreement. The new price applies from your next renewal, and you can cancel before it does. We may change TrueDo Pro features over time; if a change materially reduces what TrueDo Pro includes, we will tell you in advance, and you can cancel before your next renewal.

11.10 Restoring purchases. If you reinstall the App or use a new device, you can restore an active subscription from TrueDo Pro in Profile by tapping "Restore purchases" while signed in with the same Apple ID.

11.11 Family Sharing. Family Sharing applies to TrueDo Pro only if it is enabled for the subscription on the App Store.

12. Intellectual property and feedback

12.1 Our rights. The Service and the App, including their software, design, text, graphics, animations and icons, the TrueDo name and logo and the TrueDo mascot character, but excluding Your Content and third-party materials, are owned by us or our licensors and are protected by copyright, trademark and other laws. These Terms do not give you any right to use our names, logos or trademarks.

12.2 Third-party marks. Apple, iPhone, iPad, App Store and Apple Health are trademarks of Apple Inc. Google, Firebase and Gemini are trademarks of Google LLC. Other names and marks belong to their respective owners, and their use does not imply endorsement.

12.3 Feedback. If you send us ideas, suggestions or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify and incorporate it in the Service, without any obligation or payment to you. Please do not send us anything confidential as feedback.

12.4 Copyright complaints. If you believe that content in the Service infringes your copyright or other rights, email ashishjhadeveloper@gmail.com with: a description of the work or right concerned; where the material is (for example, the username and item); your name and contact details; a statement that you believe in good faith that the use is not authorised by the owner, its agent or the law; and a statement that the information in your notice is accurate and that you are the owner or are authorised to act for the owner. We may remove or disable access to the material and terminate the Accounts of repeat infringers.

13. Availability, changes to the Service and beta features

13.1 Availability. We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, timely, secure or error-free. It may be unavailable because of maintenance, updates, network problems or failures of the third-party services we rely on. Some features, such as sync and TrueDo AI, need an internet connection.

13.2 Changes. The Service evolves. We may add, change, suspend or remove features, content, limits, AI models or service providers. If a change materially and adversely affects your use of the Service, we will give you reasonable advance notice where practicable.

13.3 Beta and preview features. We may offer features marked as beta, preview or experimental, or features that use preview versions of AI models. They are provided as they are, may be less reliable, and may be changed or withdrawn at any time.

13.4 Discontinuing the Service. If we decide to discontinue the Service, we will give you at least 30 days' notice where reasonably possible, so that you can export your data and cancel your subscription.

14. Suspension and termination

14.1 By you. You can stop using the Service at any time, and you can delete your Account in the App at Profile → Delete account. Deleting your Account permanently deletes your data as described in our Privacy Policy and cannot be undone. It does not cancel your TrueDo Pro subscription (section 11.7).

14.2 By us. We may suspend or restrict your access to the Service, remove content, or terminate your Account if: you materially or repeatedly breach these Terms; we are required to do so by law or by a court or authority; your use of the Service causes or risks harm to other users, third parties or the Service, or exposes us to legal liability; your Account has been used for fraud or abuse; or we discontinue the Service. Where reasonable, we will tell you the reason and give you an opportunity to respond, unless doing so would be unlawful, would compromise safety or an investigation, or the breach is serious.

14.3 Effect. When your Account is terminated, your licence ends and you must stop using the Service. We will delete or anonymise your data as described in our Privacy Policy. If we terminate your Account other than for your breach while you have a paid TrueDo Pro period remaining, you may request a refund from Apple, and we will support your request where the law requires.

14.4 Survival. Provisions that by their nature should survive termination will survive, including sections 6.4, 7.3 to 7.6, 8, 12, 15, 16, 17, 18, 21 and 22.

15. Disclaimers of warranties

15.1 To the maximum extent permitted by law, the Service, the App and all content and AI Output are provided "as is" and "as available", without warranties, conditions or representations of any kind, whether express, implied or statutory, including any implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy and quiet enjoyment.

15.2 Without limiting section 15.1, we do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure or free of errors or harmful components, that data will not be lost or corrupted, that defects will be corrected, or that any AI Output, estimate, score, figure or other content will be accurate, complete or reliable.

15.3 Your statutory rights. Some laws do not allow certain warranties or conditions to be excluded. Nothing in these Terms excludes or limits any warranty, guarantee, condition or right that cannot be excluded or limited under the law that applies to you, including your rights as a consumer in India, the European Union, the United Kingdom, Australia or elsewhere (for example, the right to digital content that is of satisfactory quality, fit for purpose and as described).

16. Limitation of liability

16.1 Excluded losses. To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, opportunity or anticipated savings, or loss or corruption of data, arising out of or relating to these Terms or the Service, however caused and under any theory of liability, even if we were told that such loss was possible.

16.2 Liability cap. To the maximum extent permitted by law, our total liability to you for all claims arising out of or relating to these Terms or the Service is limited to the greater of (a) the total amount you paid for TrueDo Pro in the 12 months before the event giving rise to the claim, and (b) USD 100 (or the equivalent in your local currency).

16.3 What we do not limit. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for our gross negligence or wilful misconduct, or for any other liability that cannot be excluded or limited by law.

16.4 Consumers in the EU and UK. If you are a consumer in the European Union or the United Kingdom, sections 16.1 and 16.2 do not apply to you. Instead, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or our failing to use reasonable care and skill, but we are not responsible for loss or damage that is not foreseeable. The Service is for domestic and private use, and we are not liable to you for any business losses. If defective digital content that we supplied damages a device or digital content belonging to you, we will either repair the damage or pay you compensation.

16.5 Other jurisdictions. Some jurisdictions do not allow the exclusion or limitation of certain damages. If those laws apply to you, some of the exclusions or limitations above may not apply, and our liability will be limited to the maximum extent those laws permit.

16.6 Allocation of risk. These limitations reflect a reasonable allocation of risk between you and us, taking into account that much of the Service is offered free of charge and that TrueDo Pro is offered at a low price.

17. Indemnity

To the extent permitted by law, you agree to indemnify and hold us harmless from and against any third-party claims, and any related losses, damages, liabilities, costs and expenses (including reasonable legal fees), arising out of: (a) Your Content; (b) your breach of these Terms; or (c) your violation of any law or of the rights of any third party. We will notify you promptly of any such claim and may choose to take part in the defence with our own counsel. You may not settle any such claim in a way that imposes obligations on us without our prior written consent. This section does not require you to indemnify us for losses caused by our own breach or negligence, and it does not apply to you to the extent that the law protecting you as a consumer does not allow it.

18. Governing law and dispute resolution

18.1 Talk to us first. Most concerns can be resolved quickly. Before starting any formal proceedings, please contact us at ashishjhadeveloper@gmail.com with a description of the issue and how you would like it resolved. We will respond and try in good faith to resolve it within 30 days. This does not stop either of us from seeking urgent relief from a court, or you from using any consumer complaint process available to you.

18.2 Governing law. These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes or claims), are governed by the laws of India, without regard to conflict-of-law rules.

18.3 Courts. Subject to section 18.4, the courts of India have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.

18.4 Your consumer rights are preserved. If you use the Service as a consumer:

  • in India, you may also file a complaint with the appropriate Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019, including where you live or work;
  • in the European Union, the European Economic Area, the United Kingdom or Switzerland, you keep the protection of the mandatory laws of the country where you live, and you may bring proceedings in the courts of that country;
  • in the United States or elsewhere, nothing in these Terms limits any rights you have under the laws of your state or country that cannot be waived or changed by contract.

18.5 Language. These Terms are written in English. If we provide a translation, the English version prevails to the extent permitted by law.

19. Changes to these Terms

We may update these Terms from time to time, for example to reflect changes to the Service, our providers or the law. If a change is material, we will tell you in the App or by email at least 30 days before it takes effect, unless a shorter period is needed for legal or regulatory reasons or to address security or misuse, or the change only concerns new features. We will not apply changes retroactively. The effective date at the top shows when these Terms were last updated. If you keep using the Service after a change takes effect, the updated Terms apply to you. If you do not agree to a change, you should stop using the Service, delete your Account and cancel any subscription before the change takes effect.

20. Export controls and sanctions

You must comply with all export control and economic sanctions laws that apply to your use of the Service, including those of India, the United States, the European Union, the United Kingdom and the United Nations. You represent that you are not located in a country or region that is subject to a comprehensive U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, that you are not listed on any U.S. Government list of prohibited or restricted parties or any similar list maintained by another government, and that you will not use, export or re-export the App or the Service in breach of those laws.

21. General

21.1 Entire agreement. These Terms, together with our Privacy Policy and any additional terms you accept for a specific feature or purchase, are the entire agreement between you and us about the Service, and they replace any earlier agreements or understandings about it.

21.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, it will be enforced to the maximum extent permitted and changed only as far as needed to make it enforceable, and the remaining provisions will stay in full force.

21.3 No waiver. If we do not enforce a right or provision of these Terms, or delay doing so, that is not a waiver of it. A waiver is effective only if it is in writing and sent by us.

21.4 Assignment. You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent. We may assign or transfer these Terms, in whole or in part (for example, to a company that we set up to run TrueDo, or to a buyer or successor of the Service), provided that this does not reduce your rights under these Terms. We will tell you if this happens.

21.5 Events beyond our control. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, government action, power or internet failures, and outages or failures of the third-party services we rely on (such as cloud hosting and AI providers).

21.6 Notices. We may send you notices by email to the address on your Account or in the App. You can send us notices at ashishjhadeveloper@gmail.com; legal notices may also be sent by post to the address in section 23.

21.7 Relationship. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between you and us.

21.8 Third-party rights. Except for Apple as set out in section 22, no one other than you and us has any right to enforce these Terms.

21.9 Interpretation. Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa.

21.10 Electronic agreement. To the extent permitted by law, you agree that these Terms may be accepted electronically and that electronic communications satisfy any legal requirement for a communication to be in writing.

22. Apple App Store additional terms

This section applies if you downloaded the App from the App Store. If it conflicts with any other part of these Terms, this section prevails for the App.

22.1 Acknowledgement. These Terms are concluded between you and us only, and not with Apple. We, not Apple, are solely responsible for the App and its content. These Terms do not provide for usage rules that conflict with the Apple Media Services Terms and Conditions as of the effective date of these Terms, which you acknowledge you have had the opportunity to review.

22.2 Scope of licence. The licence granted to you for the App is limited to a non-transferable licence to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.

22.3 Maintenance and support. We are solely responsible for providing any maintenance and support services for the App, as specified in these Terms or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

22.4 Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) of the App to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are our sole responsibility, to the extent not effectively disclaimed in these Terms.

22.5 Product claims. We, not Apple, are responsible for addressing any claims by you or any third party relating to the App or your possession and use of it, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation, including in connection with the App's use of the HealthKit framework. These Terms do not limit our liability to you beyond what is permitted by applicable law.

22.6 Intellectual property claims. If any third party claims that the App, or your possession and use of it, infringes that third party's intellectual property rights, we, not Apple, are solely responsible for the investigation, defence, settlement and discharge of that claim.

22.7 Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

22.8 Developer name and contact. The App is provided by Ashish Jha, India. Email: ashishjhadeveloper@gmail.com. Please direct any questions, complaints or claims about the App to these contact details.

22.9 Third-party terms. You must comply with any applicable third-party terms of agreement when using the App, such as your wireless data service agreement.

22.10 Third-party beneficiary. You and we acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, once you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

22.11 Apple's licence terms. Unless we provide our own licence agreement on the App Store, Apple's Licensed Application End User License Agreement (https://www.apple.com/legal/internet-services/itunes/dev/stdeula/) also applies to your use of the App, and these Terms supplement it.
